UDR, Inc. - Operating Partnerships (OP Transactions)

UDR, Inc. is a real estate investment trust (REIT) that owns and operates approximately 44,000 apartment homes in over 163 communities as of August 31, 2008. UDR, Inc. also had 5,116 units under development and another 684 homes under contract for development in its pre-sale program.

An Operating Partnership (OP) of a REIT is a vehicle that allows a REIT to acquire real estate in a tax deferred transaction for the seller, provided all conditions are satisfied. The seller receives units in the OP generally equal in value to that of the property. This type of transaction has several benefits for the seller. 

An OP unit transaction will act as a 1031 differed tax exchange for the seller. Potential OP unit holders should consult with their tax advisors regarding the tax consequences of acquiring, holding and disposing of OP Units.
